three NIC problem



Hi

I'm trying to run a machine with three (intel fxp) interfaces on QDI
Kinetiz 7B/E (BIOS upgraded) and I'm unable to activate the third one.
Ifconfig shows that everything is OK, IP, even the speed is correct if I
connect another device to it. But pinging is impossible. I got "host is
down" responses every time. After connecting the same device to the
second NIC everything runs ok. 
I thought the problem was that NIC's IRQ is shared with the multimedia
device (onboard). 
I disabled every possible device in BIOS (second IDE channel, COM and
LPT ports, USB, etc), but the NIC and the sound card always have IRQ 15.
I've also tried to disable pcibios but without success. 
When I disable the onboard audio in BIOS then the booting will hang
at fd0 at fdco.... See dmesg.
I've tried to switch ACPI ON/OFF, PNP OS ON/OFF etc...
Then I switched the audio off by changing the jumper position on the
mainboard. The funny thing is, that nothing happened and I'm still
unable to ping through the third NIC :-( I've tried to place the NIC in
defferent PCI slots without success. And the NIC is OK, cause I've tried
different combinations (not in all yet). Only two NICs - in the first
PCI slot (right under the AGP slot) and second one will work.

Can anybody help me please?
